Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and GlimmerMaster LLC ("we," "us," "our," or "Company"), governing your access to and use of https://www.inkwyrm.app, the InkWyrm iOS application on the Apple App Store (bundle identifier app.inkwyrm.mobile, SKU inkwyrm-ios), and any related services, features, content, or applications (collectively, the "Service"). The iOS application loads the same Service as the website.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

If you use the iOS application, Apple's Licensed Application End User License Agreement also applies to that application. Where Apple's Licensed Application EULA conflicts with these Terms with respect to the iOS application, Apple's Licensed Application EULA controls for that conflict. These Terms otherwise continue to govern your use of the Service and are not replaced by Apple's terms.

We may update these Terms from time to time. If we make material changes, we will notify you by sending you an email or posting a notice on the Service. Your continued use of the Service after such changes constitutes your acceptance of the updated Terms.

2. Eligibility

To use the Service, you must:

  • Be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater)
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using the Service under applicable law

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Account Registration

3.1 Creating an Account

Some features of the Service require you to create an account. You may sign in with an email address and password, with Google, or with Sign in with Apple. If you use Sign in with Apple, Apple may hide your real email address behind a relay. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized use of your account

3.2 Account Security

You are responsible for all activity that occurs under your account, whether or not you authorized it. We are not liable for any loss or damage arising from your failure to maintain the security of your account credentials.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms
  • Fraudulent, abusive, or illegal activity
  • Extended periods of inactivity
  • Requests by law enforcement or government agencies

You may delete your account at any time by using the account settings in the Service or contacting us at support@inkwyrm.app.

4. Use of the Service

4.1 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.

4.2 Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Engage in any illegal, fraudulent, deceptive, or harmful activity
  • Upload, transmit, or distribute any viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to the Service, other accounts, or computer systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Scrape, crawl, or use automated means to access the Service without our express written permission
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to send unsolicited commercial communications (spam)
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Collect or harvest personal information of other users without their consent
  • Use the Service in any way that could damage, disable, overburden, or impair it

4.3 Usage Limits

The Service may include usage limits, such as standard database storage and API request caps associated with our cloud infrastructure. Exceeding these limits may result in throttling, temporary suspension, or an upgrade requirement.

5. Payments and Billing

5.1 Pricing and Membership Tiers

Certain features of the Service require a paid membership (a "Pact"). Prices are displayed on our website and are quoted in USD. Memberships are offered in limited cohorts:

  • Founder's Pact: the first 50 paid members
  • Additional limited launch pacts: released as earlier cohorts fill, with details shown on the Membership page when a pact is open
  • Standard Membership: all members thereafter

Cohort availability is determined at the time a launch seat is claimed — when payment clears or when lifetime complimentary access is granted — not at the time you begin checkout or start a trial. Subscriber numbers, cohort badges, and any grandfathered pricing are assigned only to paid or lifetime-comped members and are not granted for trials or unpaid accounts. We reserve the right to change our prices at any time; price changes will not affect an existing active subscription until its next renewal.

5.2 Payment Processing

Pact memberships are billed by Stripe on the website. The iOS application does not sell Pact memberships through Apple In-App Purchase. By making a purchase, you agree to Stripe's terms of service and privacy policy. You represent and warrant that you are authorized to use the payment method you provide and that the information you supply is accurate and complete. We do not store full payment card numbers.

5.3 Free Trials

Free trials are offered only where expressly stated at checkout. Standard Memberships include a 38-day free trial and require a valid payment method at signup; you will not be charged until the trial ends, after which your subscription renews automatically at the then-current price unless you cancel before the trial ends. Launch pacts, including Founder's Pact, do not include a trial and are charged immediately upon checkout. Referral trials, where offered, are available only to accounts referred by a paying subscriber and are limited to one per account.

5.4 Renewals and Plan Changes

Subscriptions automatically renew at the end of each billing period (monthly or annually) unless cancelled beforehand. You may switch between monthly and annual billing through the billing section of your account. Upgrades from monthly to annual billing take effect immediately and are prorated by Stripe; downgrades from annual to monthly billing take effect at the end of your current paid period with no proration or partial refund, and your annual plan remains fully active until that date.

5.5 Failed Payments, Retries, and Grace Period

If a recurring charge fails, we will attempt to collect payment up to two (2) additional times according to our payment processor's retry schedule. Your account will be marked past due and an in-app notice will ask you to update your payment method. You retain full access to your tier for a grace period of seven (7) days from the first failed payment. If payment has not succeeded by the end of that grace period, access to paid features may be restricted or suspended until payment is resolved.

5.6 Cancellation

You may cancel at any time from your account settings on the website or by emailing support@inkwyrm.app or billing@inkwyrm.app. Because membership is billed by Stripe rather than Apple In-App Purchase, cancelling through the App Store will not cancel your Pact. Cancellation takes effect at the end of your current billing period, and you retain full access to your tier and its perks through the last day of that period. Cancelling releases your cohort seat, subscriber number, and any grandfathered pricing once the subscription lapses. If you later resubscribe, you will be enrolled at the membership tier and price then available; prior cohort placement is not restored.

5.7 Refunds and Disputes

All sales are final and we do not offer refunds, except as required by applicable law or where we choose to issue one at our discretion. If a payment is fully refunded or a chargeback or dispute is filed, the associated subscription is cancelled immediately rather than at period end, access to paid features ends at once, and any cohort placement, subscriber number, and badge are cleared and the seat released.

5.8 Gifts and Redemption Codes

Gift memberships (3, 6, or 12 months) may be purchased for another person and are delivered as a redemption code. Gift purchases are non-refundable and non-transferable once delivered, have no cash value, and cannot be exchanged for cash or credit. A redeemed gift grants access for the stated term only and does not automatically renew; unless a paid subscription is started, access ends when the gift term expires. We may set an expiration date on unredeemed codes and will state it at purchase.

5.9 Shared Realms and Allies

An account holder with an active membership may invite other users ("Allies") into their shared workspace ("Realm"). While the owner's membership remains active, Allies may access the shared Realm without their own paid membership. Allies may view and contribute to shared data but cannot delete shared ledgers, and the owner may remove an Ally at any time. If the owner's membership lapses, coverage for Allies ends. The owner is responsible for whom they invite and for the data shared with them.

5.10 Taxes

Prices listed do not include applicable taxes. You are responsible for all applicable taxes, duties, and levies associated with your use of the Service, except for taxes based on our net income.

5A. Financial Data and Bank Connections

The Service allows you to connect financial accounts through Plaid Inc. ("Plaid"). By connecting an account, you authorize us and Plaid to access and retrieve account, balance, and transaction information from your financial institution on your behalf, and you agree to Plaid's end user privacy policy. You may disconnect a linked account at any time from Bank Connections in Settings.

Imported data is provided by your financial institution through Plaid and may be delayed, incomplete, or inaccurate. You are responsible for reviewing, approving, and categorizing imported transactions, and for verifying balances against your institution's records, which control in the event of a discrepancy.

No financial advice. InkWyrm is a budgeting and organization tool. Nothing in the Service constitutes financial, investment, tax, accounting, or legal advice, and we are not a bank, lender, broker, or financial adviser. Projections, payoff schedules, forecasts, and reports are estimates based on the data you provide and should not be relied on as guarantees. Decisions you make using the Service are your own.

5B. Communications

By creating an account, you agree to receive service-related communications by email, including account verification, password resets, invitations, payment receipts, billing and payment-failure notices, gift delivery, bill reminders, and budget digests. These are necessary to operate the Service and cannot be fully disabled while your account is active, though optional reminders and digests may be turned off in your settings. Marketing emails are separate and may be unsubscribed from at any time.

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its original content, features, functionality, design, source code, and logos, is and shall remain the exclusive property of GlimmerMaster LLC and its licensors. The Service is protected by copyright, trade secret, and other applicable intellectual property laws.

6.2 Your Content

You retain ownership of any content you create, upload, or submit through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with operating and improving the Service.

You represent and warrant that:

  • You own or have the necessary rights to your User Content
  • Your User Content does not infringe on the intellectual property rights of any third party
  • Your User Content does not violate any applicable law

6.3 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Service, you acknowledge that we may use such feedback without obligation to you, and you hereby assign all rights in such feedback to us.

7. User Content

7.1 Responsibility

You are solely responsible for your User Content and the consequences of posting or publishing it. We do not endorse, support, represent, or guarantee the completeness, truthfulness, accuracy, or reliability of any User Content.

7.2 Content Moderation

We reserve the right, but are not obligated, to review, edit, or remove User Content that we determine, in our sole discretion, to be in violation of these Terms, offensive, harmful, objectionable, or in violation of any third party's rights.

7.3 Content Removal

If you wish to remove your User Content from the Service, you may do so by deleting it through the Service or contacting us at support@inkwyrm.app. Note that removed content may persist in backups for a reasonable period before being permanently deleted.

8. Third-Party Services and Links

The Service may contain links to third-party websites, services, or resources (such as Plaid) that are not owned or controlled by us. We are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk and subject to the terms and conditions of those services.

9. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied.

To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Service will be uninterrupted, timely, secure, or error-free
  • Warranties regarding the accuracy, reliability, or completeness of any content available through the Service
  • Warranties that defects will be corrected
  • Warranties that the Service or the servers that make it available are free of viruses or other harmful components

Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, the above exclusions may not apply to you.

10. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall GlimmerMaster LLC, its officers, directors, employees, agents, suppliers, or licensors be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Any loss of profits, revenue, data, goodwill, or other intangible losses
  • Any damages resulting from your access to or use of (or inability to access or use) the Service
  • Any damages resulting from any unauthorized access to or alteration of your transmissions or data
  • Any damages resulting from statements or conduct of any third party on the Service
  • Any other matter relating to the Service

Our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the event giving rise to the liability, or (b) USD $100.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless GlimmerMaster LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your User Content, your violation of these Terms, your violation of any law or third-party rights, or any dispute between you and another user of the Service.

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

12.2 Informal Resolution

Before filing any formal dispute, you agree to first attempt to resolve the issue informally by contacting us at support@inkwyrm.app. We will attempt to resolve the dispute informally within 30 days.

12.3 Court Jurisdiction

Any dispute arising from these Terms that cannot be resolved informally shall be brought exclusively in the state or federal courts located in Orlando, Florida, and you consent to the personal jurisdiction and venue of such courts.

12.4 Class Action Waiver

To the maximum extent permitted by applicable law, you agree to resolve disputes with us on an individual basis and waive any right to participate in a class action, class arbitration, or any other representative proceeding.

13. Termination

13.1 By You

You may terminate your use of the Service at any time by deleting your account or ceasing to use the Service.

13.2 By Us

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

13.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease, and we may delete your account and User Content. All provisions of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, warranty disclaimers, limitation of liability, indemnification, and dispute resolution.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and us regarding the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

14.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

14.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, riots, government actions, internet disruptions, or pandemics.

14.6 Notices

We may provide notices to you via email to the address associated with your account, or through the Service. Notices to us should be sent to support@inkwyrm.app.
